TERMS OF USE PLEASE READ THESE TERMS CAREFULLY BEFORE USING THE SERVICE These Terms of Use govern access to and use of the Practice HI software-as-a-service (the "Service") by practices and their users. 1. ACCEPTANCE OF TERMS By creating an account or using the Service, you agree to these Terms. If you accept on behalf of a practice, you represent that you are authorized to bind it. 2. LICENSE AND ACCESS We grant a limited, non-exclusive, non-transferable right to access and use the Service during the subscription term, solely for the practice's internal operations. 3. ACCEPTABLE USE • No unlawful, infringing, or abusive use, and no attempts to breach security or access data you are not authorized to access • You are responsible for your users' activity and for safeguarding credentials • Use of PHI must comply with HIPAA and the Business Associate Agreement 4. ACCOUNTS AND SECURITY You must provide accurate registration information and keep it current. Notify us promptly of any unauthorized access to your account. 5. FEES AND SUBSCRIPTION Subscription fees, billing frequency, and renewal terms are as agreed in your order or plan. Fees are non-refundable except as required by law. 6. DATA OWNERSHIP AND PHI The practice retains ownership of its data. Our handling of PHI is governed by the Business Associate Agreement. We may use de-identified and aggregated data to operate and improve the Service. 7. SERVICE AVAILABILITY We strive for high availability but do not guarantee uninterrupted service. Maintenance and factors beyond our control may affect availability. 8. DISCLAIMERS The Service is provided "as is" without warranties of any kind to the extent permitted by law. The Service supports, but does not replace, professional clinical judgment. 9. LIMITATION OF LIABILITY To the maximum extent permitted by law, our aggregate liability is limited as set out in your subscription agreement, and we are not liable for indirect or consequential damages. 10. TERMINATION Either party may terminate in accordance with the subscription agreement. Upon termination, access ceases and data is handled per the Business Associate Agreement and applicable law. 11. CHANGES AND GOVERNING LAW We may update these Terms with notice. The governing law and venue are as stated in your subscription agreement. Questions may be directed to support@practicehi.com.
